no i dont think upgrading delete any file except giving warning that certain installed software may be incompatible beside the OS...it shuldn't have any affect on ur downloaded programs..
ok, i haven't have experience with vista on the other hand but it can't be any different thatn instauling any os. so once you get into setup for vista it will probably bequeath you an option to reformat your tough drive, don't that deletes everything a short time ago setup a partition. it should be undemanding there are simply 2 options and one will put on alert you about losing everything

As beside any operating system never upgrade on top of an weak operating system. Always format and start fresh with the tentative operating system !
