Well im a computer geek so my answer is ALWAYS!
it's kind of silly to upgrade to 64-bit hardware unless you own a 64-bit operating system (windows xp has a 64-bit edition, as do diverse versions of linux).

be aware though, that not adjectives hardware (scanners, printers, etc.) have 64-bit drivers. so you may be short certain elder peripherals should you choose to go exclusively 64-bit.
Start from gash would be my opinion.
Yes, you should upgrade your system since your dimm is not rather enough for running Windows XP (minimum 256MB).
The PRC choice is underneath you , Athlon XP 3200 is good ample coz it alraedy got 64-bit tech. You also can adding together one more bigger DIMM(512 or 1 GB) + your frail 256MD RAM. This was a budget upgrade.
Although 64 bit CPU is available, but till very soon still little only SW/ hardware can fully support it. But don't bring back wrong, this CPU (Athlon) already support almost of software and will take assistance in adjectives (64-bit SW).
